Dear GSDBA Members,

During the recent voting to amend the GSDBA bylaws, a member pointed out that a procedural error had occurred.  Therefore, because of due diligence, the GSDBA board, in response to those concerns, has declared the November, 2007, bylaw ballot to be null and void. 

The primary reason for the need to resubmit changes to the membership is that the procedure for changing bylaws was not correctly followed (Article XII).  The procedure requires that changes be sent to members:

“10 days prior to the next regularly scheduled board meeting. Active voting members will have the opportunity to address the Board” regarding those changes.

In order to remedy this situation, we have posted the proposed bylaw changes on the GSDBA web site, www.gsdba.org (Click on the 'Membership' tab at the top of the page. Then click on the 'Bylaw Information' button on the left). Here you will be able to review them, and then determine whether or not you wish to address the board about any of the proposed changes. Please be sure to visit this page prior to the January 16, 2008, board meeting to be held at Park Manor Suites, 525 Spruce Street, at 5:30pm. After that board meeting the proposed bylaw changes will again be mailed to members, with a ballot.

There are also three other items GSDBA has determined need to be addressed:

1. The Article IV, Section 2, recommended change listed conflicting times for when the new board takes office. The proposed time is the first meeting of the new board in May, not June 1st.

2. Article V, Section 2 is confusing and needs clarification. It has been reworded to indicate that officers are voted upon at the May meeting of the new board.

3. Finally, we had proposed adding the GSDBA mission statement to Article I.  Upon further reflection, the board decided to leave the Article unchanged as mission statements are revised from time to time.

The above changes will be clearly indicated on the bylaw changes posted online, and on the hardcopy you will receive by mail after the January board meeting.

We apologize for the extra time and attention you are being asked to contribute to help correct our procedural error.
